Terms of Service
Contracting Entity
These Terms of Service ("Terms") are a binding agreement between you ("Client," "you," or "your") and:
Omax Tech, a company registered in Pakistan, registered with the Pakistan Software Export Board (PSEB) under registration number Z-25-19741/26, with registered address at B-41, Block 2, Gulistan-e-Johar, Karachi, Sindh 75290, Pakistan
(referred to in these Terms as "Omax Tech," "we," "us," or "our").
Omax Tech operates through the following offices, which may deliver Services depending on the engagement:
USA — 1047 Keswick Drive, Allen, Texas 75002, USA
UAE — IFZA Dubai Digital Park, Silicon Oasis, UAE
Pakistan — B-41, Block 2, Gulistan-e-Johar, Karachi, Sindh 75290, Pakistan
Omax Tech is a subsidiary of QAVI, its parent company.
Invoicing entity: Unless otherwise stated in your signed proposal, agreement, or Statement of Work (SOW), invoices for Services are issued by Omax Tech. The USA and UAE offices listed above serve as regional operating locations, but Omax Tech (the Pakistan-registered entity identified in this section) is the contracting party for payment and tax purposes on all engagements, unless a specific SOW states otherwise.
Acceptance of Terms
By accessing or using our website at https://omax.tech (the "Site") or engaging Omax Tech for software development, AI, data engineering, ERP/CRM consulting, cloud/DevOps, or related services (collectively, the "Services"), you agree to be bound by these Terms.
By using the Site or Services, you represent that:
You are at least 18 years of age and have the legal capacity to enter into a binding agreement; and
If acting on behalf of a company or organization, you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Site or Services.
Relationship Between These Terms and Service Agreements / SOWs
Specific engagements are typically governed by a signed Master Services Agreement (MSA), Statement of Work (SOW), or Proposal ("Service Agreement").
Order of precedence: Where there is any conflict or inconsistency between these Terms and a signed Service Agreement, the Service Agreement governs with respect to that engagement, and these Terms apply only to the extent they do not conflict with it. These Terms govern all use of the Site and any engagement for which no separate Service Agreement has been signed.

Specific deliverables, timelines, and pricing for a given engagement are set out in the applicable Service Agreement, as described in Section 3.
Intellectual Property Rights
Site Content
All content on the Site — including text, graphics, logos, designs, and Omax Tech's own software, source code, and documentation — is the property of Omax Tech or its licensors and is protected by applicable intellectual property laws.
Ownership of Work Product (Client Engagements)
Unless otherwise agreed in writing in a Service Agreement:
Discovery materials (requirements documents, workshop outputs, architecture proposals, and similar pre-engagement or discovery-phase deliverables) remain the property of Omax Tech unless and until a paid engagement commences, at which point ownership transfers as specified in the Service Agreement.
Custom code and deliverables developed specifically for the Client under a paid engagement, and paid for in full, are owned by the Client upon full payment, except for any Omax Tech pre-existing IP, internal tools, or reusable components described below.
Reusable components and internal frameworks — Omax Tech may use, and retains ownership of, its own pre-existing tools, frameworks, libraries, accelerators, and general know-how ("Omax Tech IP") that are incorporated into deliverables. Omax Tech grants the Client a perpetual, non-exclusive, royalty-free license to use such Omax Tech IP solely as embedded in the delivered work product.
Third-party and open-source libraries — Deliverables may incorporate third-party or open-source components, which remain subject to their own respective licenses. Omax Tech will use commercially reasonable efforts to identify material third-party dependencies and their license terms upon request, but the Client is responsible for compliance with those third-party license terms in its ongoing use of the deliverable.
Limited License to the Site
We grant you a limited, non-exclusive, non-transferable license to access and use the Site for professional and informational purposes only. You may not:
Copy, reproduce, modify, or distribute Site content or source code
Use Omax Tech branding or trademarks without written permission
Reverse-engineer, decompile, or attempt to extract underlying software or systems
Warranties, Support, Maintenance, and Service Levels
Site Disclaimer
The Site and any general information on it are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind.
Service Warranties
For paid engagements, Omax Tech warrants that Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Any additional warranties — including defect-correction periods, acceptance criteria, or performance warranties for specific deliverables — will be set out in the applicable Service Agreement.
Support, Maintenance, and SLAs
Ongoing support, maintenance, response times, uptime commitments, and other service-level obligations are not included by default under these Terms and apply only where expressly purchased and defined in a separate Support/Maintenance Agreement or SLA schedule attached to a Service Agreement. That schedule will specify response and resolution times, coverage hours, and escalation procedures.
User Obligations & Prohibited Activities
You agree to use the Services only for lawful purposes and must not: interfere with or disrupt the Site, servers, or networks; upload or transmit malware, viruses, or harmful code; attempt unauthorized access to any systems, data, or accounts; use our AI, software, or data solutions for illegal, infringing, or harmful activities; or misrepresent your identity or business affiliation.
Fees and Payments
Pricing is specified in the applicable proposal, agreement, or SOW.
Payment terms are due according to invoice terms unless otherwise agreed in writing.
Late payments may result in suspension or termination of Services for the affected engagement, at Omax Tech's discretion, after notice.
See Section 1 for which entity issues invoices on your engagement.
Confidentiality
Both parties agree to maintain the confidentiality of non-public, proprietary, or sensitive information exchanged during the course of the Services ("Confidential Information"), except where disclosure is required by law. This obligation survives termination of these Terms and of any Service Agreement.
Export Control and Sanctions Compliance
Omax Tech serves clients globally. Accordingly:
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive trade sanctions, and are not listed on any applicable restricted-party, denied-persons, or sanctions list, including those maintained by:
The Government of Pakistan and its relevant regulatory bodies (including sanctions and anti-money-laundering regimes administered under Pakistani law);
The U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce;
The United Nations Security Council;
The European Union; and
Any other sanctions authority applicable to your jurisdiction.
You agree to comply with all applicable export control and sanctions laws in connection with your use of the Services, and not to use, export, re-export, or transfer any Omax Tech software, technology, or deliverables in violation of such laws.
Omax Tech reserves the right to suspend or terminate Services where continued provision would violate applicable export control or sanctions law.
Disclaimer of Warranties (General)
To the maximum extent permitted by law, and except as expressly stated in Section 6, Omax Tech disclaims all warranties, express or implied, including as to uninterrupted or error-free operation, accuracy or completeness of information, and guaranteed outcomes or results from software, AI, or data solutions.
Limitation of Liability
To the maximum extent permitted by law, Omax Tech shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, revenue, or business opportunities, arising out of or related to your use of the Services, even if advised of the possibility of such damages.
To the maximum extent permitted by law, Omax Tech's total aggregate liability arising out of or relating to the Services, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to Omax Tech for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Omax Tech, its directors, officers, employees, and partners from any claims, damages, liabilities, losses, or legal expenses arising from your use or misuse of the Services, your violation of these Terms, or your violation of applicable laws or third-party rights.
Termination
Omax Tech may suspend or terminate your access to the Services immediately, without prior notice, if you breach these Terms or engage in unlawful or fraudulent behavior. Termination of a specific engagement is otherwise governed by the applicable Service Agreement.
Upon termination, provisions relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.
Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws principles.
Any dispute arising under these Terms shall be subject to the exclusive jurisdiction and venue of the courts of Karachi, Sindh, Pakistan.
Complaints and Legal Notices
Complaints process: If you have a complaint about our Services, please submit it in writing to contact@omaxtechnologies.com with a description of the issue and any relevant engagement/contract reference. We aim to acknowledge complaints within 2 business days and provide a substantive response within 15 business days.
Legal notices: Formal legal notices under these Terms must be sent in writing to:

Notices sent by email are deemed received on the next business day; notices sent by courier or registered mail are deemed received 5 business days after posting.
Changes to These Terms
Omax Tech may modify these Terms at any time. Changes take effect upon posting an updated version with a revised "Last Updated" date at the top of this page. Continued use of the Services after changes constitutes acceptance of the updated Terms.
Material changes affecting active Service Agreements will not apply retroactively to that engagement unless agreed in writing.
